Kaleidoscope Project Bylaws

Article I: Purpose/Mission

The Kaleidoscope Project exists to bring together smart, talented, and down-to-earth women professionals who seek meaningful connections, opportunities for growth, and the chance to unwind. We believe in creating a community where women can learn, laugh, and thrive together, while stepping outside the workplace to embrace new experiences.

Tagline: Connecting brilliance. Cultivating community. Redefining women’s networking.

Article II: Membership

Membership Levels:

  • General Member: Open to any individual committed to the purpose and objectives of the Kaleidoscope Project.
  • Founder and/or Key Contributor: A select group of members committed to actively planning, hosting, and organizing events. Key Contributors can take on leadership roles within the organization.
  • Honorary Founder: An individual who was instrumental in founding the Kaleidoscope Project. They are recognized for their contributions but are not required to fulfill the same commitments as Key Contributors. They may attend events and offer advice in an advisory capacity without the obligation to be deeply involved.

Responsibilities:

  • General Members: Encouraged to attend events and participate in activities but are not required to take on planning or leadership roles.
  • Key Contributors: Required to attend meetings and actively contribute to the organization’s goals through participation in one or more committees. Members of the Event Planning Committee must also plan and host at least one event per year.
  • Honorary Founders: May offer advice and attend events without any formal obligations.

Article III: Meetings

  • Regular Meetings: There shall be at least six planning meetings per year.
  • Key Contributors are required to attend at least four of these meetings.
  • Annual Meeting: An annual meeting shall be held to review the year’s activities, plan for the next year, and discuss any other business.

Article IV: Event Planning and Hosting

  • Event Hosting (Key Contributors): Each Key Contributor must plan and host at least one event per year.
  • Events can be solo projects or collaborative efforts with other Key Contributors.
  • Event Calendar: An annual event calendar will be developed and shared among Key Contributors at least 3-6 months in advance.

Article V: Committees and Volunteers

  • Event Planning Committee: Responsible for organizing and overseeing events.
  • Marketing and Communications Committee: Handles publicity, social media, website updates, and community outreach.
  • Membership Committee: Manages recruitment, orientation, and member engagement.
  • Ad-Hoc Committees: Created as needed for specific projects or tasks.


Volunteers: General Members may volunteer for specific tasks or events. Volunteers should be supervised by a committee or member.

Article VI: Member Benefits and Incentives

Event Discounts:

  • Key Contributors receive a discount on registration fees for events, workshops, or special gatherings.
  • For major events, free admission or special perks such as VIP access or reserved seating may be offered.

Recognition:

  • Key Contributors may be featured on the Kaleidoscope Project’s website, social media, or newsletters.
  • Annual awards or certificates may be given to recognize outstanding service and contributions.

Exclusive Opportunities:

  • Key Contributors have priority for leadership roles within the organization, such as chairing committees.

Networking Events:

  • The organization may host private networking events, dinners, or retreats exclusively for Key Contributors.
  • Special guest access or opportunities to meet with industry leaders in intimate settings may also be provided.

Additional Voting Power:

  • Key Contributors may have a greater say in organizational decisions, including voting on major initiatives and new member admissions.

Branded Merchandise:

  • Exclusive branded merchandise, such as tote bags, notebooks, or apparel, may be provided to Key Contributors as a token of appreciation.

Priority Event Scheduling:

  • Key Contributors have the first choice for selecting dates for hosting events or choosing prime event slots.

Article VII: Decision-Making

  • Quorum: A quorum for decision-making shall be a majority of Key Contributors.
  • Voting: Decisions are made by majority vote, with each Key Contributor having one vote. However, the President/Owner retains the authority to review and make final decisions on any matter to ensure alignment with the organization’s mission and goals.

Article VIII: Amendments

  • Proposal: Amendments to the bylaws can be proposed by any Key Contributor.
  • Approval: Amendments require a two-thirds majority vote at a meeting where a quorum is present. The President/Owner must provide final approval for any amendment to be adopted.

Article IX: Code of Conduct

  • Respect: Members must treat each other with respect and professionalism.
  • Commitment: Members must fulfill their responsibilities and contribute positively to the group.
  • Conflict Resolution: Disputes should be resolved through discussion and mediation, if necessary.
